O'WONDER MAY TERMINATE YOUR ACCOUNT IF WE FEEL THAT YOU HAVE FAILED TO COMPLY WITH EITHER THESE GUIDELINES OR THE TERMS AND CONDITIONS. THE TERMS AND CONDITIONS AND/OR THE GUIDELINES MAY BE CHANGED AT ANY TIME. THE CHANGES WILL BE POSTED ON THE GONUMBER.COM OR O'WONDER WEBSITE. YOUR CONTINUED MEMBERSHIP OF THE GONUMBER.COM SERVICE CONSTITUTES ACCEPTANCE OF ALL THE CHANGES.

1. ACCEPTABLE USE GUIDELINES

1.1 General
O'WONDER expects that its members and users will act legally, responsibly and be considerate of others. O'WONDER reserves the right, but not the responsibility, to prohibit or delete any conduct, communication or content which O'WONDER, in its sole discretion determines to be unlawful or harmful to O'WONDER or others.

1.2 System and Network Security
Any violations of O'WONDER's system or network security are strictly prohibited and may result in criminal and/or civil liability. O'WONDER will cooperate with law enforcement or independently investigate incidents involving such violations.

1.3 Enforcement
a) In order for O'WONDER to comply with applicable laws, including without limitation the Electronic Communications Privacy Act 18 U.S.C. 2701 et seq., to comply with appropriate government requests, to operate O'WONDER's systems properly, or to protect O'WONDER or its customers, O'WONDER may access and disclose any information, including without limitation the name of the member and any other information it considers necessary or appropriate. O'WONDER will cooperate with law enforcement authorities in investigating suspected lawbreakers. O'WONDER reserves the right to report to law enforcement any suspected illegal activity of which it becomes aware.

b) If O'WONDER receives a complaint or otherwise becomes aware of any possible violation of these Guidelines or the Terms and Conditions, O'WONDER may in its sole discretion, initiate an investigation. This investigation may include gathering information from and about members and examining the content of profiles, Web pages or any other information stored on O'WONDER's servers. During any investigation O'WONDER may suspend services to any member being investigated and/or remove the material from its servers. You agree to cooperate with any such investigation.

c) If O'WONDER determines, in its sole discretion, that a violation of these Guidelines or the Terms and Conditions has occurred, O'WONDER may, but will not be obligated to take any or all of the following actions: temporarily or permanently remove material from O'WONDER servers, warn the member(s) involved, suspend or terminate account(s), and take any other responsive action at any time and for any reason. Violations of these Guidelines could also subject you to criminal or civil liability including monetary damages.

d) Use of O'WONDER's Services constitutes acceptance of this Agreement in full. Please see important information about the risks you accept by your use of the O'WONDER services and limitations on O'WONDER's liability contained in the Terms and Conditions.

2. TERMS AND CONDITIONS

These Terms and conditions in conjunction with the Acceptable Use Guidelines (above), represent the complete Agreement and understanding between O'WONDER and you, the GONUMBER.COM member, and supersede any other agreement, oral or written, pertaining to your GONUMBER.COM membership.

By using O'WONDER's services you agree to be bound by and to comply with this Agreement, just as if you had signed it. A violation of any provision of this Agreement or the Acceptable Use Guidelines is grounds for immediate termination of your GONUMBER.COM membership.

Upon notice published online via the GONUMBER.COM Web site, O'WONDER may modify the Terms and Conditions or the Acceptable Use Guidelines, amplify them, and/or modify the prices of its services, as well as discontinue or change the services offered. Your continued use of O'WONDER's services following such notification will be deemed acceptance of the modifications.

2.1 - This Agreement defines the terms and conditions of service for all types of memberships offered by O'WONDER, both personal and business, and the services available through those memberships. O'WONDER's GONUMBER.COM services are defined as including, but not limited to, directory services, domain re-direction and Internet hosted applications.

2.2 - O'WONDER will provide its services to you in exchange for full compliance with this Agreement and the Acceptable Use Guidelines.

2.3 - O'WONDER reserves the right to discontinue any and all services to you at any time, without prior notice or liability, for any conduct which O'WONDER, in its sole discretion, believes violates these Terms and Conditions or the GONUMBER.COM Acceptable Use Guidelines, or is otherwise harmful to O'WONDER's interests or the interests of other members.

2.4 - You may only use O'WONDER's services for lawful purposes, in compliance with all applicable laws including copyright and trademark law. Unlawful activities include, but are not limited to, linking a GONUMBER.COM iD to information that is published illegally, acquiring a GONUMBER.COM account with false contact/billing information, joining the directory under another persons identity without their written permission, or compromising the security of the GONUMBER.COM server(s), service, or any information maintained on the server including that of any fellow member.

2.5 - During promotions only one listing may be obtained free of charge or at a discount by any one individual. If it is discovered that a promotion code has been used to obtain more than one listing for use by the same individual then O'WONDER reserve the right to immediately terminate all listings obtained by that individual or all listings bar one obtained by that individual.

2.6 - To comply with applicable laws and lawful government requests, to operate its systems properly, or to protect itself or its members, O'WONDER reserves the right to access and disclose any information. O'WONDER will fully cooperate with law enforcement authorities in investigating suspected lawbreakers and reserves the right to report to law enforcement any suspected illegal activity it becomes aware of.

2.7 - When O'WONDER becomes aware of possible violation of this Agreement or the Acceptable Use Guidelines, O'WONDER may, in its sole discretion, choose to initiate an investigation. This investigation may include gathering information from members and examining material on O'WONDER's servers. During investigations, O'WONDER may suspend accounts involved in a violation and/or remove the material involved from its servers. If O'WONDER believes, in its sole discretion, that a violation of this Agreement or the Acceptable Use Guidelines has occurred, it may temporarily or permanently remove material from O'WONDER's servers, cancel GONUMBER.COM memberships, warn the member's involved, suspend or terminate the accounts of member(s) responsible, and/or take other responsive action. O'WONDER, in its sole discretion, will determine what action will be taken in response to a violation on a case-by-case basis. Violations of this Agreement could also subject you to criminal or civil liability.

2.8 - You are responsible for maintaining the security of your account, password, and any information you disseminate using O'WONDER's services or other Internet services, and for all use of your GONUMBER.COM account with or without your knowledge or consent.

2.9 - O'WONDER is not responsible for maintaining material that it deletes from its servers as a result of a determination that the material violates any provision of the Terms and Conditions or Acceptable Use Guidelines.

2.10 - You acknowledge that O'WONDER's services are provided "as is." O'WONDER, its employees, agents, suppliers, vendors and distributors make no warranty of any kind, either expressed or implied, regarding the accuracy or validity of the data and/or information available through its services. O'WONDER expressly excludes any implied warranty of merchantability or fitness for a particular purpose to the fullest extent possible by law.

2.11 - Neither party shall be liable to the other for any loss, damage, liability, claim or expense arising out of or in relation to this Agreement or your use of inability to use O'WONDER's services, other than for indemnification under section 2.11, however caused, whether grounded in contract, tort or strict liability. Use of information obtained from or through GONUMBER.COM is at your own risk. Under no circumstances will O'WONDER be liable to you or any other person for any loss or damage cause by reliance on data or information available from O'WONDER's services.

2.12 - You agree to waive and hold O'WONDER harmless from any claims relating to any action taken by O'WONDER as part of its investigation of a suspected violation of this Agreement or the Acceptable Use Guidelines or as a result of its conclusion that a violation of this Agreement or the Acceptable Use Guidelines has occurred. This means that you cannot sue or recover any damages whatsoever from O'WONDER as a result of O'WONDER's decision to suspend or terminate your or any member's account, or take any other action during the investigation of a suspected violation or as a result of O'WONDER's conclusion that a violation has occurred. This waiver applies to all violations described in the Terms and Conditions and in the Acceptable Use Guidelines.

IN NO EVENT SHALL O'WONDER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE OR OTHER CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS) ARISING OUT OF OR IN RELATION TO THIS AGREEMENT OR THE MEMBERS USE OF OR INABILITY TO USE O'WONDER SERVICES. In any case, O'WONDER's entire liability under or arising out of this Agreement shall be limited to the amount you paid for the service in the twelve months prior to the act or injury that gave rise to the liability. However, some jurisdictions may not allow a limitation on liability for negligence that causes death or personal injury, and O'WONDER limits its liability in such jurisdictions only to the degree allowed by the applicable laws.

2.13 - INDEMNIFICATION. You agree to defend, indemnify and hold O'WONDER harmless form any claims, losses, damages, including attorney's fees, resulting from your violation of any of the provisions of this Agreement or the Acceptable Use Guidelines or from any and all use of your membership, with or without your knowledge or consent.

2.14 - The inclusion by members of search keywords and/or tags unrelated to the nature of the members business or profession is forbidden when such inclusion is designed to intentionally deceave or confuse anyone using the service. Any such irrelevant search keywords and/or tags will be removed by O'WONDER. Continued miss use of search keywords/tags will be deemed as a breach of these Terms & Conditions of service.

2.15 - The membership fee is due at the time of sale.

2.16 - A fee of £25 will be charged for any cheques that fail to clear. Cheques that fail to clear upon re-presentaion shall constitute a non-payment.

2.17 - This Agreement will be governed by and construed in accordance with the laws of the London, England and the State of California, excluding its conflict of laws principles, and the parties' consent to exclusive personal jurisdiction of and venue in a court of competent jurisdiction located in and serving London, England and Santa Clara County, California, USA.

If any provision of this Agreement or the Acceptable Use Guidelines is held to be unenforceable for any reason, such provisions shall be reformed only to the extent necessary to effect the original intentions of the parties, and the remainder of this Agreement shall remain in full force and effect.
